Capricorn Information Systems Master Software License Agreement

Between: Capricorn Information Systems, Inc. (“Capricorn” or “Licensor”) and End User (“Licensee”)

1. Definitions

• Software: Capricorn Program Inventory Dashboard Version 1.0, including any updates, enhancements, or documentation.
• Copyright Notice: © 2024 – 2026 Capricorn Information Systems, Inc. USA. All Rights Reserved.
• License Period: One (1) year from date of acceptance.
• Purpose: To provide an inventory of programs running on Licensee’s IBM i computer system.

2. License Grant

Licensor grants Licensee a limited, non‑exclusive, non‑transferable, single server license to use the Software as delivered for the stated purpose.

3. Ownership and Restrictions

Capricorn retains full ownership and intellectual‑property rights. Licensee shall not modify, reverse‑engineer, or distribute the Software, nor use it beyond its intended purpose. Open‑source components are governed separately by the Open‑Source Addendum.

4. Support and Maintenance

Maintenance and technical support are available upon request at Licensor’s current published service rates.

5. Warranties and Liability

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON‑INFRINGEMENT, AND IS NOT LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES.

6. Termination

This Agreement terminates immediately if Licensee breaches its terms. Upon termination, Licensee must cease use and destroy all copies of the Software.

7. Confidentiality

Licensee agrees to protect any non‑public, proprietary information of the Licensor and not disclose it except as required by law.

8. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of New York, USA.

9. Feedback and Reporting

Licensee agrees to provide problem reports, performance feedback, and suggestions, which Licensor may use without restriction.

10. Licensor Warranties

Capricorn warrants that it owns legitimate rights to distribute the Software and that its proprietary code does not infringe known third‑party intellectual property.

By clicking “ I Agree ” or using the software, Licensee acknowledges full acceptance of this Agreement.

OPEN‑SOURCE LICENSE ADDENDUM

This Addendum supplements the Capricorn Master Software License Agreement and identifies all open‑source and third‑party software components contained in or distributed with the Software.

1. Included Licenses

The Software may include libraries governed by the following open‑source licenses:

• MIT License – Allows reuse with attribution and inclusion of license text.
• Apache License 2.0 – Permits modification and redistribution with preservation of copyright,
  license text, attribution, and NOTICE file disclosures.
• IBM Public License v1.0 – Requires license text inclusion and access to source or instructions for obtaining it.
• MeeSoft Diagram Designer Freeware License – Permits free use; prohibits commercial redistribution without author consent.
• Microsoft HTML Help EULA – Permits redistribution of certain components only under Microsoft’s terms.

2. Requirements

• A full copy of each license is provided in the accompanying LICENSE/ directory.
• All required copyright, attribution, and trademark notices must remain intact in the Software and related documentation.
• Modifications to open‑source components must be clearly marked and documented in change logs or NOTICE.txt.

3. Disclaimer

All open‑source components are provided “AS IS” and without warranty of any kind, as stated in their respective licenses.

4. Source Availability

Where required (e.g., under IBM Public License 1.0), Licensee may request access to source code or instructions for obtaining it from Capricorn.

5. License Compatibility

In case of conflict between the Capricorn Master License and an open‑source license, the relevant open‑source license governs only its specific component.

6. NOTICE File Summary

A separate NOTICE.txt file accompanies the Software, identifying:
